Refac Optical Group is a leading provider of vision care products and services in the United States and Canada. Refac acquired two affiliated companies, U.S. Vision, Inc. and OptiCare Health Systems, Inc. in March of 2006, creating the sixth largest retail optical chain in the United States. U.S. Vision has been engaged in the retail optical business since 1967, and is the second largest independent operator of optical stores in host retailers in terms of store count and the first in terms of the number of brands. OptiCare, together with its professional affiliate OptiCare, P.C, is a leading provider of professional eye care products and services in Connecticut.

As of January 31, 2008, we operated 521 retail locations in 47 states and Canada, consisting of 501 licensed departments, two freestanding stores, and 18 eye health centers and professional optometric practices. We also operate two surgery centers, one of which is a laser correction center, and two manufacturing laboratories. Our licensed departments are full-service retail vision care stores that offer an extensive selection of designer brands and private label prescription eyewear, contact lenses, sunglasses, ready-made readers, and accessories.

On April 26, 2007, a group led by Palisade Concentrated Equity Partnership, Refac’s majority stockholder, completed a transaction to take the Company private.
